TERMS OF SERVICE

1. AGREEMENT AND OPERATOR

These Terms govern your use of UME.LA, including https://umela.io, https://ume.la, the UME.LA account and link-management application, the Telegram Bot (@referbot), and the Telegram Mini App (together, the "Service").

The Service is operated by Compit Ltd., registered in England and Wales under company number 12484949, of 7 Bell Yard, London, WC2A 2JR, United Kingdom ("Compit", "we", "us" or "our").

By using the Service, you agree to these Terms and the Acceptable Use Policy ("AUP"). Our Privacy Policy explains how personal data is processed. If you do not agree, do not use the Service.

If you use the Service on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

2. ACCOUNTS AND GUEST USE

You may register with an email address and password, Google OAuth or Telegram. Email registration requires verification. You may also connect supported authentication methods to an existing account.

Some functions can be used before registration. When a protected feature is used without an existing session, the Service may automatically create a guest account and guest session. A guest account can later be converted or linked through a supported registration method.

You must provide accurate information, keep your credentials secure and promptly notify us if you suspect unauthorised access. You are responsible for activity carried out through your account or guest session unless caused by our breach of duty.

You must not share an account in a way that defeats limits, evade enforcement or creates a security risk. We may refuse registration, require verification or restrict an account where reasonably necessary for security, abuse prevention or compliance.

3. THE SERVICE

The Service allows users to create and manage short links and, depending on the account tier, use features such as custom domains, aliases, expiration settings, tags, UTM parameters, QR codes, click analytics, analytics sharing and data export.

You are responsible for each destination URL, custom domain and item of information you submit. You must have the rights and permissions needed to use them.

Short links may stop working if they expire, are deleted, are found to be unsafe, violate these Terms or the AUP, depend on an unavailable destination, or the Service is suspended or discontinued.

4. LINK ANALYTICS

When a short link is followed or scanned, the Service records event-level analytics. This can include the visitor's IP address, approximate GeoIP location, user agent, browser, operating system, device details, referrer, UTM parameters, destination URL, short URL and event time.

The owner of a link can view and export analytics for that link. If you create or manage links, you must use analytics lawfully, provide any privacy information required for your use, and must not use the analytics to unlawfully identify, profile, discriminate against or contact visitors.

If you enable a public analytics-sharing function, you are responsible for the decision to make those statistics available and for keeping the sharing key appropriately restricted.

5. FREE AND PREMIUM TIERS

The Free tier provides the features and limits displayed in the Service. Premium provides the expanded limits and features shown on the pricing or checkout screen at the time of purchase. Limits and feature descriptions displayed in the Service form part of these Terms.

We may introduce, remove or change non-essential features. We will not remove a paid core feature during an active prepaid period without providing an appropriate remedy where required by law.

6. PREMIUM SUBSCRIPTIONS

6.1. Plans and providers

Creem checkout supports recurring Premium periods of 1, 3, 6 or 12 months, depending on the products currently offered in the Service. Telegram Stars supports a recurring 30-day Premium subscription through Telegram.

Creem acts as Merchant of Record for Creem purchases. Telegram processes Telegram Stars purchases under the applicable Telegram terms. The checkout screen shows the provider, price, currency, billing period and renewal information before purchase.

6.2. Renewal

A recurring subscription renews for the applicable billing period until renewal is cancelled. The payment provider charges the payment method or Telegram Stars balance associated with the subscription.

You can cancel renewal through the subscription controls made available in your UME.LA account. Provider-side subscription controls may also be available. Cancelling renewal prevents future provider charges but normally leaves Premium active until the end of the paid period.

6.3. Cancellation and refunds

The Service provides two separate actions where available:

• Cancel renewal: stops future recurring charges and keeps Premium active through the current paid period.
• Cancel subscription with refund: available when the latest successful payment is still within the Service's 14-day refund window and has not already been refunded or placed into refund processing. This action cancels renewal where applicable and requests a full refund of the latest payment from the provider.

A refund can take additional time to appear after the provider accepts it. If an automatic refund request fails, contact support@umela.io with the payment details.

Telegram purchases and refunds are also subject to Telegram's rules and technical capabilities. You can use the Bot's /paysupport command for payment support.

Nothing in this Section limits a refund, cancellation or other remedy that cannot lawfully be excluded under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the Consumer Rights Act 2015 or other applicable consumer law. Premium is activated immediately after payment only when the customer expressly requests immediate activation in the applicable purchase flow. This request does not remove the 14-day cancellation and refund option described above.

6.4. Downgrade

When Premium ends, the account reverts to the Free tier. Existing items are not automatically deleted solely because they exceed a Free-tier limit, but creation or use of features can be restricted until the account is within the applicable limits or Premium is restored.

6.5. Prices, taxes and chargebacks

The price and any applicable taxes are shown at checkout. A changed price applies to a future purchase or renewal only in accordance with the provider process and applicable law.

If a payment is reversed, charged back, refunded or found fraudulent, we may withdraw the related Premium access and take reasonable steps to prevent further loss or abuse.

7. SECURITY SCREENING

7.1. URL screening

We check submitted destination URLs against local Google Web Risk threat-list data. If a local hash match requires confirmation, the full destination URL is sent to Google Web Risk. Newly created links are checked when submitted and may be checked again approximately 10 minutes, 30 minutes, 1 hour, 6 hours and 24 hours after creation. Bulk or migrated links may receive a reduced schedule.

7.2. Review requests

We may reject, flag or disable a link that is identified as unsafe or that we reasonably believe violates these Terms or the AUP. Automated checks can produce errors. You may request a review at abuse@umela.io.

7.3. Children's Access Assessment

You must be 13 or older to create an account or use the Service.

Compit has assessed whether the Service is likely to be accessed by children. The Service is a general-purpose link-management tool intended for individuals, businesses and organisations. It is not designed for or marketed to children and does not provide child-directed content, social discovery, public user profiles or features intended to attract children. On that basis, Compit does not currently consider the Service likely to be accessed by a significant number of children.

The Service remains accessible online and does not use age-verification technology. We will keep this assessment under review as the Service, its audience and applicable legal requirements develop. If we learn that a person under 13 has created an account or provided personal data, we may close the account and take appropriate steps regarding that data as described in the Privacy Policy.

8. ACCEPTABLE USE AND ENFORCEMENT

You must comply with the AUP at https://umela.io/legal/aup. Prohibited activity includes phishing, malware distribution, fraud, spam, illegal content, harmful content identified in the AUP, infringement, unauthorised access, evasion of restrictions and abusive automated or bulk use.

We may investigate reports and take proportionate action, including rejecting or disabling links, marking links unsafe, restricting functionality, banning an account, preserving relevant records or reporting information to competent authorities where required or permitted by law.

Where practicable and safe, you may ask us to review an enforcement decision by contacting abuse@umela.io and identifying the affected short link or account. We may act without prior notice where delay could expose users or third parties to harm, compromise an investigation or increase legal or security risk.

Nothing in these Terms states that the Service has a particular regulatory classification under the Online Safety Act 2023. Where duties under that Act or related regulations apply to the Service, we will handle detected illegal content and make reports to competent authorities as required by law.

9. COPYRIGHT AND OTHER INTELLECTUAL PROPERTY COMPLAINTS

UME.LA stores and redirects short URLs but does not host the content of destination websites. If you believe a short link facilitates infringement, submit a report through https://umela.io/legal/abuse or email abuse@umela.io with:

• the protected work or right concerned;
• the UME.LA short link;
• the location and nature of the alleged infringement;
• your name and contact details;
• the basis on which you are entitled to complain; and
• a statement that the information supplied is accurate and provided in good faith.

We may disable the short link while reviewing the report. The account holder may request review and provide evidence that the link was disabled in error. Disabling a short link does not remove content from the destination website; complaints about hosted content should also be sent to the destination operator.

10. OUR INTELLECTUAL PROPERTY

The Service, software, branding, interfaces and documentation are owned by Compit or its licensors. We grant you a limited, revocable, non-exclusive and non-transferable right to use the Service in accordance with these Terms.

You must not copy, reverse engineer, resell or exploit the Service except to the extent permitted by law or expressly authorised by us.

11. THIRD-PARTY SERVICES AND DESTINATIONS

The Service integrates with providers such as Google, Telegram and Creem and redirects users to third-party destinations. We do not control or endorse destination websites and are not responsible for their content, availability, security or privacy practices.

You should check a destination before submitting sensitive information or downloading files. Security screening reduces risk but cannot guarantee that a destination is safe.

12. AVAILABILITY AND CHANGES

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free availability. Maintenance, provider outages, network failures, abuse controls and events outside our reasonable control may affect the Service.

We may update or discontinue the Service. Where a change materially affects an active paid subscription, we will provide notice or a remedy where reasonably practicable and required by law.

13. LIABILITY

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Nothing affects a consumer's mandatory statutory rights.

Subject to the paragraph above, we are not liable for loss caused by destination websites, unlawful use of a link by another person, loss that was not reasonably foreseeable when the contract was formed, or business loss suffered by a consumer.

If you use the Service for business purposes, our aggregate liability arising from the Service is limited to the greater of GBP 100 and the amount you paid us for the Service during the 12 months before the event giving rise to the claim. We are not liable to business users for indirect or consequential loss, loss of profit, revenue, business opportunity, goodwill or anticipated savings.

If you use the Service for business purposes, you will indemnify Compit against third-party claims and reasonable costs arising directly from your unlawful use of the Service, your submitted links, or your material breach of these Terms, except to the extent caused by Compit's own breach or negligence.

14. TERMINATION

You may stop using the Service or delete your account through the account settings. Account deletion and retention are described in the Privacy Policy.

We may suspend or terminate access where reasonably necessary because of a material or repeated breach, security risk, fraud, non-payment, legal requirement or serious harm to the Service or others. Any mandatory consumer rights and any refund already due remain unaffected.

15. GOVERNING LAW AND DISPUTES

These Terms are governed by the law of England and Wales.

If you are a consumer, you may bring proceedings in the courts available to you under mandatory consumer law, including the courts of your country of residence where applicable. If you are a business, the courts of England and Wales have exclusive jurisdiction.

Please contact support@umela.io first so that we can try to resolve the issue. UK consumers may also obtain information from the Citizens Advice consumer service at https://www.citizensadvice.org.uk/consumer/.

16. GENERAL

If a provision is unenforceable, the remaining provisions continue in effect. A delay in enforcing a right is not a waiver. You may not transfer your rights under these Terms without our consent. We may transfer these Terms as part of a merger, reorganisation, sale of business or transfer to an affiliate, provided this does not reduce mandatory consumer rights.

These Terms, the Privacy Policy, Cookie Policy and AUP form the agreement governing the Service.

We may update these Terms to reflect Service, provider or legal changes. The current version and update date will be published at https://umela.io/legal/terms. Where a change materially disadvantages an active Premium subscriber, we will provide reasonable advance notice where practicable and required by law.
